Important – who is selling the artwork

Unless a product page expressly states otherwise, the artist identified on that listing is the principal seller of the artwork. Autaway Limited trading as The Art Agents acts as the artist’s disclosed sales agent and administers the listing, order, payment, customer service and other sales functions on the artist’s behalf.

1. About these Shop Terms

These Shop Terms apply to orders placed through theartagents.com. Please read them before placing an order. They are designed to work with the product information shown on the relevant listing and our Privacy Policy.

If you are purchasing wholly or mainly for business, gallery, resale or professional purposes, the business provisions in these Terms apply and consumer-only rights may not apply.

2. The Art Agents and the artist seller

The Website is operated by Autaway Limited trading as The Art Agents, company number 12185075, registered office Suite 2063, 6-8 Revenge Road, Chatham, England, ME5 8UD.

Unless expressly stated otherwise on a product page, the artist named on the listing is the seller of the artwork and The Art Agents acts as that artist’s disclosed sales agent. The Art Agents is authorised to market the work, receive and administer orders, collect payment as agent, communicate with customers, arrange delivery where applicable, and administer returns, refunds and complaints on behalf of the artist.

For convenience, references to “we”, “us” and “The Art Agents” in these Terms include Autaway Limited acting in that agency capacity. Mandatory legal obligations which apply directly to the seller remain the responsibility of the relevant artist, but The Art Agents will normally be your point of contact.

3. Who may order

You must have legal capacity to enter into the purchase. If you order for a business, you confirm that you have authority to bind that business.

4. Product information

Each listing is intended to state the important characteristics of the artwork, including whether it is an original, print, edition or other product, together with relevant dimensions, medium, framing status and edition details where applicable.

We take reasonable care with descriptions and images. Because artwork is visual and screens vary, exact colour and texture may differ from on-screen appearance. Handmade, hand-finished and artist-produced items may also contain natural variations which are not defects.

For original works and limited editions, availability is limited. If an item has already sold or becomes unavailable before we can accept your order, we will not substitute another work without your agreement.

5. Prices and taxes

Prices are shown in pounds sterling unless stated otherwise. Prices shown to UK consumers should include VAT where VAT is chargeable. Delivery charges and any other mandatory charges will be displayed or explained before you place the order.

For international orders, customs duties, import VAT, local taxes and clearance charges may be payable in the destination country unless we expressly state that they are included.

6. Placing an order and formation of the contract

The checkout process allows you to review and correct information before placing your order. By clicking the final order button, you are making an offer to buy and acknowledging an obligation to pay.

You will receive an electronic acknowledgement after placing the order. Unless that acknowledgement expressly says otherwise, it is not acceptance of the order.

The sales contract is formed when we send an order acceptance/dispatch confirmation on behalf of the artist, or otherwise expressly confirm acceptance. We may refuse or cancel an order before acceptance where, for example, the work is unavailable, there is an obvious pricing error, payment fails, fraud is suspected, legal/compliance requirements are not satisfied, or delivery is not reasonably possible.

If payment has already been taken for an order we cannot accept, it will be refunded.

7. Payment

Payment must be made using an available checkout method unless another arrangement is expressly agreed. Payments are processed through third-party payment providers. The Art Agents does not normally store your complete card details.

We may carry out reasonable payment, fraud, identity or compliance checks before completing an order.

8. High-value art transactions and compliance

For higher-value art transactions, linked transactions, international transactions or other circumstances where law or risk requires it, we may ask for identity, beneficial ownership, source-of-funds, sanctions or other due-diligence information before accepting or completing an order.

We may delay, refuse, suspend or refund a transaction where reasonably necessary to comply with anti-money-laundering, sanctions, fraud-prevention or other legal obligations.

9. UK delivery

Available delivery methods, charges and estimated times will be shown at checkout or confirmed before acceptance. The current standard arrangement for eligible Paul Wakeford orders shown on the Website is £8.95 UK delivery below £250 and free standard UK delivery on eligible orders of £250 or more; arrangements for other artists or specialist works may differ.

Unless a different period is agreed, goods will be delivered within 30 days after the contract is made where consumer distance-selling rules require that timeframe.

Please provide a complete and accurate delivery address. Additional costs caused by an incorrect address or failed delivery attributable to the customer may be charged where reasonable and lawful.

10. International delivery

International delivery is available only where confirmed. The Website may require you to contact us for a quotation rather than charging international delivery automatically.

You are responsible for ensuring that the artwork may lawfully be imported into the destination. Unless expressly included, you are responsible for destination customs duties, import taxes and local clearance charges.

11. Risk and ownership

For consumer purchases, risk in the goods passes in accordance with mandatory consumer law, including applicable rules concerning delivery by a carrier. Ownership passes when the seller has received full payment, subject to any mandatory law to the contrary.

Copyright and other intellectual property rights in artwork do not transfer merely because you purchase the physical work. You purchase the physical item only unless a separate written copyright or licence agreement says otherwise.

12. Consumer right to cancel

If you are a consumer buying an eligible item online, you normally have 14 days after the day you receive the goods to tell us that you wish to cancel without giving a reason. If one order contains goods delivered on different days, the cancellation period normally runs from delivery of the last item.

After notifying us of cancellation, you normally have a further 14 days to send the goods back.

To cancel, contact paul@theartagents.com with your name, order number and a clear statement that you wish to cancel. You may use the model cancellation form in Schedule 1, but you do not have to.

13. Exceptions to change-of-mind cancellation

The statutory change-of-mind cancellation right does not normally apply to goods made to the customer’s specifications or clearly personalised, including genuinely commissioned or personalised artwork.

This exception does not remove rights where goods are faulty, damaged, misdescribed or otherwise fail to meet mandatory legal standards.

A standard print or edition is not treated as personalised merely because it is produced after the customer places an order unless a legal exception genuinely applies.

14. Returning eligible cancelled goods

Please contact us before returning artwork so that we can give appropriate return instructions. You must take reasonable care of the item and package it securely.

For a change-of-mind cancellation, you are responsible for the direct cost of returning the goods unless we agree otherwise or the law requires otherwise. Given the nature and value of artwork, we strongly recommend an insured, tracked service.

You may inspect goods as you reasonably could in a shop. Where handling goes beyond what is necessary to establish the nature, characteristics and functioning of the goods and causes loss of value, the refund may be reduced to the extent allowed by law.

Certificates of authenticity, edition documentation and other items supplied with the artwork must also be returned.

15. Refunds after cancellation

Where a valid consumer cancellation applies, we will arrange reimbursement of the price and the cost of the least expensive standard outbound delivery option offered, where required by law.

We may withhold the refund until the returned goods are received or you provide evidence of having sent them back, where the law permits.

Refunds will normally be made using the original payment method unless another method is expressly agreed. We do not charge a fee for issuing a legally required refund.

16. Faulty, damaged or misdescribed goods

Nothing in these Terms limits your statutory rights. Consumer goods must meet the standards required by applicable law, including being as described, of satisfactory quality and fit for any particular purpose made known where the law applies.

If artwork arrives damaged or you believe it is faulty or misdescribed, contact us promptly at paul@theartagents.com. For transit damage, photographs of the artwork and packaging are helpful. A request to contact us promptly does not remove statutory rights.

Where required by law, appropriate remedies may include refund, repair, replacement or price reduction depending on the circumstances.

17. Original artwork and limited editions

Original artworks may be unique and replacements may be impossible. Limited editions may also sell out. Where a replacement is not reasonably available, another legally appropriate remedy will be offered where required.

Edition numbers, certificates or authenticity documents supplied with a work form part of the item and should be retained.

18. Commissioned artwork

Commissioned work may be subject to an additional written brief dealing with subject, dimensions, medium, price, deposit, milestones, estimated completion and revision limits. Where there is a conflict, the specific commission brief takes priority for that commission.

Unless otherwise agreed, a deposit may be required before the artist starts work. Any cancellation rights will depend on applicable law and whether the work has been made to the customer’s specifications or clearly personalised.

19. Reviews

If you leave a product review, it must reflect a genuine experience and comply with the Website Terms of Use. Fake reviews and concealed incentivised reviews are not permitted.

20. Business and trade customers

If you purchase wholly or mainly for business, gallery, resale, trade or professional purposes, consumer-only rights in these Terms do not apply unless the law says otherwise.

For business customers, all implied terms are excluded to the maximum extent permitted by law except title and other terms that cannot lawfully be excluded. Our aggregate liability arising from a business purchase will not exceed the price paid for the affected order, except for liability which cannot lawfully be limited. We are not liable to a business customer for indirect or consequential loss, loss of profit, revenue, business, opportunity, goodwill or anticipated savings.

Approved trade pricing is confidential to the account holder unless we say otherwise. Trade access may be suspended or withdrawn for misuse. Separate wholesale, credit or bespoke trade terms may apply where expressly agreed.

21. Events outside reasonable control

Neither the artist nor The Art Agents will be responsible for delay or failure caused by circumstances outside reasonable control, but this does not remove consumer rights which cannot lawfully be excluded. We will take reasonable steps to minimise disruption and contact you where a material delay affects your order.

22. Personal information

Autaway Limited uses personal information as described in the Privacy Policy. Information may be shared with the relevant artist and service providers where reasonably necessary to administer and fulfil the order.

23. Our responsibility

Nothing excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, breach of title obligations, or any liability which cannot lawfully be excluded.

If you are a consumer, the seller and The Art Agents remain responsible for foreseeable loss caused by a breach of applicable obligations, subject to law. Neither is responsible for business losses suffered by a consumer.

If you are a business customer, the limitations in clause 20 apply.

24. Changes to these Shop Terms

We may update these Shop Terms from time to time. The version in force when your order is accepted will apply to that order unless a change is required by law and applies to existing contracts.

25. Governing law and disputes

These Terms are governed by the law of England and Wales. Consumers retain any mandatory rights available in their home jurisdiction. Business customers submit to the exclusive jurisdiction of the courts of England and Wales.

If you have a problem with an order, please contact us first so we can try to resolve it.
